These Terms & Conditions govern all orders placed with Eco Vintners Limited Trading as Eco Wine (“we”, “us”, “our”). By placing an order, you confirm that you have read, understood and agree to be bound by these terms
1. Application of Terms
By submitting an order to Eco Wine, the buyer (“you”, “your”) accepts these Terms & Conditions in full. No alternative terms or conditions shall apply unless expressly agreed by us in writing.
2. Product Availability & Pricing
- All orders are subject to stock availability.
- Prices may change at any time without prior notice.
- Prices include free delivery within Ireland for orders of five cases or more, unless otherwise agreed.
- All prices listed are exclusive of VAT, which will be applied at the appropriate rate.
3. Payment Terms
- Payment terms are 30 days net from the date of invoice, unless otherwise agreed in writing.
- Overdue accounts may incur interest at a rate of 2% per month, or part thereof, until payment is received in full.
- We reserve the right to suspend or refuse supply if payment terms are not met.
4. Retention of Title
- Ownership of all goods supplied remains with Eco Wine until full payment has been received.
- Until payment is made, you shall hold the goods in a fiduciary capacity on our behalf and store them safely so they remain identifiable as our property.
- If the goods are sold by you before payment is made, the proceeds of that sale must be held in trust for Eco Wine and kept in a manner that clearly identifies them as our property.
- In the event of non-payment by the due date, we reserve the right to enter your premises to recover any goods that remain unpaid, without prejudice to any other rights or remedies available to us.
5. Claims, Shortages & Breakages
- Any shortages or breakages must be reported:
- to the carrier at the time of delivery, and
- to Eco Wine within 3 days of delivery.
- The delivery docket must be signed to indicate damage or missing items.
- We cannot accept claims if this procedure is not followed.
6. Limitation of Liability
We will not be liable for any indirect, incidental or consequential loss arising from the supply of goods, delays in delivery or any failure to perform our obligations where such failure is caused by circumstances beyond our reasonable control.
7. Governing Law
These Terms & Conditions are governed by the laws of Ireland. Any disputes will be subject to the exclusive jurisdiction of the Irish courts.
